    A ‘Nail in the Coffin’ for Flimsy M&A Suits

    Sean Griffith was quoted in the Wall Street Journal’s MoneyBeat blog about a judge’s decision to reject a settlement to resolve a lawsuit over the merger of two real-estate websites.

    The case, filed 16 months ago, had been closely watched. While other Delaware judges have shown thinning patiencewith these types of settlements, the more-senior Mr. Bouchard had been reserved in his comments from the bench and had yet to reject a settlement outright.

    “This is really the end of the easy, automatically approved settlement,” said Sean Griffith, a professor at Fordham Law, calling the 42-page decision “a nail in the coffin.”
